Paia — Terms of Service

Effective Date: April 1, 2026

These Terms of Service (“Terms”) govern your access to and use of systems provided by Paia LLC (“Paia”, “we”, “us”).

By subscribing to a Paia system, you agree to these Terms.

1. Service Overview

Paia provides hosted, AI-powered systems that execute business workflows based on user input.

These systems are:

  • delivered as a subscription
  • operated by Paia
  • continuously maintained and improved

The system is not sold or transferred. It is operated as an ongoing service.

2. Commercial Model

The system is provided under a single monthly subscription.

This subscription includes:

Activation — integration into your workflows, connection of your data and inputs, and initial deployment

Operation — running the system in production, monitoring reliability, and continuous improvement

Expansion — adding new capabilities and extending workflows within the system as your needs evolve

There are no separate fees for build, usage, or expansion within scope.

Pricing

Monthly pricing is determined per system based on scope, complexity, and business impact, and is agreed prior to activation.

If the system evolves in a way that materially increases complexity, scope, or operational load, pricing may be adjusted by mutual agreement.

Billing

  • Subscription fees are billed monthly in advance
  • The first billing cycle includes the activation and integration phase

Minimum Term

The subscription has a minimum initial term of three (3) months from the start date.

3. Scope of Subscription

The subscription applies to a single system.

Included:

  • improvements and enhancements within the system
  • expansion of workflows within the defined scope of the system

Not included:

  • entirely new systems
  • unrelated workflows outside the original system scope

New systems may be treated as separate engagements.

4. Access Model

You are not purchasing software.

You are subscribing to a system that is:

  • operated by Paia
  • maintained in production
  • continuously improved over time

Access to the system:

  • is granted while your subscription is active
  • may be suspended or terminated in the event of non-payment or breach of these Terms

5. Intellectual Property

Paia retains all rights, title, and interest in and to:

  • the system
  • all underlying software, architecture, and logic
  • any improvements, updates, or derivative works

You retain ownership of:

  • your data
  • your content
  • your branding and business materials

Paia grants you a non-exclusive, non-transferable license to use the system for your internal operations and customer-facing workflows while your subscription is active.

No ownership of the system is transferred under these Terms.

6. Data

Your data remains your property.

Paia processes your data solely for the purpose of operating and improving the system.

Paia may use anonymized, non-identifiable data to improve system performance and functionality.

7. Payment & Suspension

If payment is not received:

  • access to the system may be suspended
  • Paia may terminate the service

Paia is not responsible for any loss resulting from suspension due to non-payment.

8. Termination

You may cancel your subscription at any time after the minimum term.

No refunds are provided for the current billing period.

Paia may suspend or terminate the service if:

  • payment is not received
  • the system is misused or abused
  • there is a breach of these Terms

Upon termination:

  • access to the system may be revoked
  • Paia has no obligation to continue providing the system

9. No Guarantees

The system is provided “as is”.

Paia does not guarantee:

  • specific business outcomes
  • performance improvements
  • operational results

You are responsible for how the system is used within your business.

10. Changes to Service

Paia may update, modify, or improve the system at any time.

Features and functionality may evolve as part of ongoing operation and expansion.

11. Changes to Terms

Paia may update these Terms from time to time.

Continued use of the system after updates constitutes acceptance of the revised Terms.

12. Restrictions on Use

You agree not to:

  • copy, reproduce, or replicate the system or any part of it
  • reverse engineer, decompile, or attempt to extract the underlying logic or architecture
  • use the system or its outputs to develop a competing or similar system

Nothing in these Terms restricts you from independently developing systems that do not rely on or derive from Paia’s technology.
